Terms of Service

1. Acceptance of Terms

By accessing or using EntryReserve ("the Platform"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use the Platform. You must be at least 18 years old to use this service. By creating an account you affirmatively represent that you meet this requirement.

2. Platform Description

EntryReserve is an online marketplace that connects ticket buyers and sellers. We facilitate auction-style and fixed-price ticket transactions. We are not a ticket seller, box office, or venue. We do not own, hold, or guarantee any tickets listed on the Platform. Event organizers who publish tickets through EntryReserve are independently responsible for event execution and ticket fulfillment.

3. Bidding & Purchases

All bids are binding. When you place a bid, you are entering a binding commitment to purchase the ticket(s) at the clearing price if you are a winning bidder. Proxy bidding may automatically increase your visible bid up to the maximum amount you specify. You are responsible for understanding how proxy bidding works before placing a bid.

Buy Now purchases are immediate and final upon payment confirmation. By clicking “Confirm Purchase” you agree to complete the transaction at the displayed price.

4. Pricing & Resale

Tickets may be listed above or below face value. Prices are set by individual sellers and event organizers. EntryReserve does not set, regulate, or guarantee ticket prices. Ticket resale laws vary by jurisdiction. Sellers are solely responsible for ensuring their listings comply with all applicable state and local resale laws (including, without limitation, price caps in New York, Massachusetts, Illinois, and other states that regulate secondary market ticket sales). EntryReserve is not liable for a seller’s failure to comply with such laws.

5. No Refund Policy

All sales are final. Refunds are issued only when an event is cancelled by the organizer. EntryReserve is not responsible for postponed, rescheduled, or relocated events. If an event is cancelled, buyers will be notified and refunds will be processed to the original payment method. Refund timing is subject to your card issuer’s processing times.

6. Ticket Validity

EntryReserve does not verify the authenticity, validity, or accuracy of tickets listed by third-party sellers. We are not responsible for denied entry, invalid tickets, or tickets that fail to scan. Buyers assume all risk associated with the validity of tickets purchased through the Platform. We strongly recommend verifying ticket details directly with the event venue.

7. Seller & Organizer Responsibilities

Sellers and event organizers are solely responsible for: (a) the accuracy of their listings and event information; (b) the validity and delivery of tickets sold; (c) event execution and any changes, postponements, or cancellations; (d) compliance with all applicable laws including resale regulations, event licensing, and permitting requirements; and (e) all obligations to ticket holders. EntryReserve does not verify ticket authenticity and makes no warranty regarding seller performance.

8. Account Responsibility

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use. EntryReserve may suspend or terminate accounts that show signs of unauthorized access or fraudulent activity.

9. Prohibited Conduct

You may not:

  • List fraudulent, counterfeit, or non-existent tickets
  • Manipulate auctions through shill bidding or coordinated bid withdrawal
  • Use bots, scrapers, or automated tools to access the Platform or circumvent purchase quantity limits (prohibited under the federal Better Online Ticket Sales (BOTS) Act, 15 U.S.C. § 45c)
  • Violate any applicable laws, including ticket resale regulations in your jurisdiction
  • Harvest personal information about other users
  • Interfere with the proper functioning of the Platform

Violation of these prohibitions may result in immediate account termination and, where applicable, referral to law enforcement.

10. Account Suspension & Termination

We may suspend or terminate your account at any time, with or without notice, if we believe you have violated these Terms, engaged in fraudulent activity, initiated chargebacks without valid basis, or otherwise posed a risk to the Platform or other users. You may appeal a suspension by contacting support@entryreserve.com within 30 days. We are not liable for any losses resulting from account termination for cause.

11. Intellectual Property

The Platform, including its design, code, trademarks, and content, is owned by EntryReserve and protected by applicable intellectual property laws. By submitting a listing, you grant EntryReserve a non-exclusive, royalty-free license to display, reproduce, and distribute your listing content (including images and descriptions) for the purpose of operating and promoting the Platform. You retain ownership of your content.

12. Payments & Fees

Payment processing is provided by Stripe. EntryReserve charges a platform fee on each transaction, which is included in the displayed price. By making a purchase you authorize the charge to your selected payment method. Card data is collected and stored by Stripe, not EntryReserve. See Stripe’s Privacy Policy for details on how payment information is handled.

13. Limitation of Liability

To the fullest extent permitted by applicable law, EntryReserve and its officers, employees, and affiliates are not liable for any direct, indirect, incidental, special, or consequential damages arising from your use of the Platform, including but not limited to: denied entry, cancelled or postponed events, invalid tickets, or losses resulting from auction outcomes. Our total liability in any circumstance is limited to the amount you paid for the specific transaction giving rise to the claim.

14. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. EntryReserve does not warrant that the Platform will be uninterrupted, error-free, or free of viruses.

15. Dispute Resolution

Informal Resolution. Before filing any legal claim, you agree to contact EntryReserve at legal@entryreserve.com and provide a written description of the dispute. We will attempt to resolve it within 30 days.

Arbitration. If informal resolution fails, disputes arising out of or relating to these Terms or the Platform shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. You waive the right to participate in a class action. Nothing in this clause prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction for matters involving intellectual property or unauthorized access.

Small Claims. Either party may bring qualifying claims in small claims court.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. To the extent any dispute is not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Delaware.

17. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify registered users of material changes via the Platform or by email. Continued use of the Platform after the effective date of changes constitutes acceptance of the updated Terms. The “Last updated” date at the top of this page indicates when the Terms were last revised.
